Both Minds WebAgent – Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Both Minds WebAgent (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms form a binding agreement between Both Minds LLC (“we”, “us”, “our”) and you (“Customer”, “User”).

2. Description of Service

Both Minds WebAgent provides tools to create, deploy, and manage AI agents trained on your website, documents, and other content. Features may include document ingestion, AI chat widgets, multi-tenant management, workflow automation, analytics, and integrations. We may update or modify the Service at any time.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts. By using the Service, you represent that all information you provide is accurate.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials, all activity under your account, and ensuring your use complies with applicable laws. We are not liable for unauthorized access resulting from your actions or negligence.

5. Customer Content

You retain ownership of all content you upload or connect to the Service (“Customer Content”). By using the Service, you grant us a limited license to process your content, generate embeddings, provide AI responses, and improve your agent’s performance. We do not claim ownership of your data. You represent that you have the rights to upload and use all Customer Content.

6. Prohibited Use

You may not use the Service to:

  • Upload illegal, harmful, or infringing content
  • Train agents on copyrighted material you do not own
  • Violate privacy or data protection laws
  • Attempt to reverse engineer or bypass security
  • Build competing products using our code or infrastructure

We may suspend or terminate accounts violating these rules.

7. AI Output & Accuracy

AI responses may be inaccurate, incomplete, or unexpected. You agree that AI output is provided “as-is”; you are responsible for reviewing and validating responses, and we are not liable for decisions made based on AI output.

8. Payment & Billing

Paid plans require a valid payment method. By subscribing, you authorize recurring charges until cancellation. Prices may change with notice. Refunds are not guaranteed. Failure to pay may result in suspension.

9. Cancellation & Termination

You may cancel at any time through your account dashboard. We may terminate or suspend your access if you violate these Terms, fail to pay, or your usage poses security or operational risks. Upon termination, your access to agents and data may be removed.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, store, and process data.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted service, error-free operation, or preservation of all data. We may perform maintenance or updates that temporarily affect access.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid in the last 12 months. You use the Service at your own risk.

13. Indemnification

You agree to indemnify and hold Both Minds LLC harmless from claims arising from your use of the Service, your Customer Content, or your violation of these Terms.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
